Vertis to Acquire American Color Graphics

Vertis Communications and American Color Graphics (ACG) have signed an agreement to merge ACG’s printing and premedia offerings into Vertis’s marketing and printing operations.

ACG’s owners will receive 10% of the combined company’s common equity and 8% of the mezzanine notes of Vertis Holding. When the transaction is completed, ACG will be a wholly owned subsidiary of Vertis.

The combined company will be led by Mike DuBose, Vertis’s chairman and CEO. Steve Dyott, ACG’s current CEO, will remain with the company to assist with the integration.

ACG brings eight production facilities, with commercial offset and lithographic printing capabilities, as well as side premedia centers, to Vertis. ACG realized $445 million in revenue during the 12 months ending March 31.
