PC Mall Acquires Pacific Business Systems

PC Mall, a direct marketer of technology products, has acquired most of the assets of Pacific Business Systems, Inc. (PBS).

PC Mall will issue 300,000 shares of its common stock to PBS, and has agreed to a capped three-year earnout based on performance. In addition, it has assumed some liabilities.

The assets include PBS’ database, accounts receivable, inventory, and various fixed assets and intellectual property.

PBS, which reported annual sales of $84 million last year, markets computer products to businesses and consumers under the ClubMac and PBS brands.

“With the majority of their current sales derived from their outbound direct marketing salesforce, the PBS acquisition is aligned with the focal point of PC Mall’s business strategy,” said PC Mall CEO Frank Khulusi in a statement. “PBS and PC Mall also use the same enterprise software, which simplifies the integration of the two companies and speeds the realization of any potential synergies.”

Khulusi added, “We will continue to look for acquisitions that fit our outbound direct marketing strategy and present opportunities to leverage our infrastructure.”

PC Mall, based in Torrance, CA, has offered jobs to PBS sales and support staff.
