New Firm Acquires Food Marketer, Food Manufacturer

MA Holdings, Inc., a newly formed holding corporation, has acquired catalog/Internet marketer M&S Fine Foods as well as Authentic Mexican, Inc., a specialty foods manufacturer.

While the exact value of the transactions as not disclosed, the deal was described as a tax-free share exchange.

The two businesses will operate as separate subsidiaries of the holding corporation.

On-line and catalog marketer M&S Fine Foods, Inc. was launched in 2002, as a result of having acquired McArthur’s Smokehouse, Inc. and Seyco Fine Foods, Inc. In 2006 M&S executed an exclusive license with Phillips Foods Inc. to market via catalog and the Internet direct-to-consumer sales of Phillips frozen seafood products.

In 2007 M&S purchased the catalog and e-commerce Impromptu Gourmet division from The Schwan Food Company.

Plans call for Authentic Mexican to take advantage of M&S’s direct marketing expertise.

Deborah J. Collyer has been named president and CEO of MA Holdings, Inc. Bernard H. La Lone, Jr. will remain chairman of the board; Grant Bates, vice president of operations; and William D. Tucker III, Esq., Secretary. At Authentic Mexican, Frank Casciari remains president.
