R.R. Donnelley & Sons Co. and GSC Partners has reached an agreement that will result in the sale by GSC Partners of its entire 4.8% interest in Donnelley for $356 million, including the repurchase of $200 million of GSC Partners’ holdings by Donnelley.
In transactions expected to close on Jan. 6, GSC partners will sell 4.66 million shares of Donnelley common stock to Goldman, Sachs & Co., which will be sold in an underwritten offering. In addition, Donnelley has agreed to repurchase 5.96 million shares of its common stock for $200 million.
